These Terms of Service (“Terms”) govern your access to and use of SoftwareClarity, a product owned and operated by Boomer Consulting, Inc. (“SoftwareClarity,” “Boomer,” “we,” “us,” or “our”).

By accessing or using SoftwareClarity, you agree to these Terms. If you do not agree, do not use SoftwareClarity.

1. About SoftwareClarity

SoftwareClarity is an informational software directory and educational resource designed to help accounting firm leaders understand the accounting technology landscape.

SoftwareClarity may include vendor profiles, product descriptions, software categories, educational content, learning resources, search tools, paid Premium Profiles, partner content, and related communications.

2. Informational Purpose Only

SoftwareClarity provides educational and informational content only. It does not provide legal, accounting, tax, cybersecurity, investment, procurement, or other professional advice.

Software descriptions, categories, summaries, and related content are intended to support research and decision-making. They are not a substitute for independent due diligence, professional advice, security review, legal review, or vendor evaluation.

You are responsible for determining whether any software product, vendor, or service is appropriate for your firm.

3. Vendor Listings

Vendors are listed on SoftwareClarity because they have been approved for inclusion in the directory by SoftwareClarity. Profile creation is not self-service.

A vendor’s inclusion in SoftwareClarity does not mean the vendor is recommended, preferred, certified, endorsed, warranted, or guaranteed by SoftwareClarity or Boomer Consulting, Inc.

SoftwareClarity may list vendors known to Boomer, known to Boomer client firms, known within the accounting profession, or otherwise relevant to accounting firm technology research.

4. Premium Profiles and Paid Visibility

Some vendors may pay for Premium Profiles on SoftwareClarity.

Premium Profiles are paid on an annual basis, unless otherwise stated in a written order form, invoice, sponsorship agreement, or other agreement between the vendor and Boomer Consulting, Inc. Payment terms, renewal terms, cancellation rights, and refund eligibility will be governed by the applicable invoice, order form, sponsorship agreement, or other written agreement.

Paid participation may affect the amount, format, or presentation of information included in a vendor profile, but it does not mean the vendor is recommended, preferred, certified, endorsed, or guaranteed by SoftwareClarity or Boomer Consulting, Inc.

SoftwareClarity reserves the right to review, edit, approve, reject, categorize, update, downgrade, or remove vendor profile content at its discretion.

If payment for a Premium Profile is not received, is declined, or is not renewed, SoftwareClarity may remove Premium Profile features, downgrade the listing, suspend visibility, or remove the profile, subject to any applicable written agreement.

5. Sponsored Content

SoftwareClarity may include sponsored content, sponsored category placements, featured educational resources, vendor-authored articles, co-created materials, webinars, guides, reports, or other content supported by vendors, sponsors, or partners.

Sponsored content may address accounting industry topics, software categories, operational challenges, technology trends, or related educational themes. Sponsored content may be written by a vendor, written by Boomer Consulting, Inc. in collaboration with a vendor, adapted from vendor-provided materials, or otherwise developed with sponsor involvement.

Sponsored content will be intended for informational and educational purposes only. Unless expressly stated otherwise, sponsored content does not mean the sponsor, its products, or its services are recommended, preferred, certified, endorsed, or guaranteed by SoftwareClarity or Boomer Consulting, Inc. We may receive compensation for publishing, featuring, distributing, or promoting sponsored content. Paid sponsorship may affect where, how, or for how long sponsored content appears on SoftwareClarity.

SoftwareClarity reserves the right to review, edit, approve, reject, label, categorize, update, remove, or decline sponsored content at its discretion.

Sponsors are responsible for the accuracy of claims, statements, data, and representations they provide for sponsored content. SoftwareClarity may review sponsored content for fit, clarity, and relevance, but we do not guarantee that sponsored content is complete, current, accurate, or error-free.

If sponsored content links to a sponsor’s website or another third-party site, your use of that site is governed by the third party’s own terms and privacy policy.

6. No Lead Generation or Data Sharing with Vendors

SoftwareClarity does not sell, rent, or share user inquiry data with vendors or sponsors for lead-generation purposes.

Vendor profiles may include links to vendor websites. If you click a vendor link, you will leave SoftwareClarity and interact directly with that vendor or third-party website. SoftwareClarity is not responsible for third-party websites, privacy practices, terms, content, products, services, pricing, security, or performance.

7. Eligibility and Business Use

SoftwareClarity is intended for business and professional use. By using SoftwareClarity, you represent that you are using it for lawful purposes and, if applicable, that you are authorized to use it on behalf of your organization.

SoftwareClarity does not currently provide individual user account functionality. If account-based features are added in the future, additional terms may apply.

8. Accuracy of Information

We aim to provide useful and accurate information, but software products, features, pricing, integrations, security capabilities, ownership, and availability may change frequently.

SoftwareClarity does not guarantee that vendor profiles, product descriptions, categories, educational content, links, or other information are complete, current, accurate, or error-free.

Vendors may request corrections or updates by contacting info@softwareclarity.com.

9. Third-Party Websites and Services

SoftwareClarity may include links to third-party websites, vendor websites, software platforms, events, resources, or services.

We do not control and are not responsible for third-party websites or services. Your use of third-party websites or services is governed by the applicable third party’s own terms and policies.

10. Acceptable Use

You agree not to:

– Use SoftwareClarity for unlawful, fraudulent, harmful, or abusive purposes
– Interfere with the operation, security, or availability of SoftwareClarity
– Attempt to access systems, accounts, or data without authorization
– Scrape, crawl, copy, harvest, or extract content or data without permission
– Use automated tools to access SoftwareClarity in a way that burdens or disrupts the site
– Misrepresent your identity, affiliation, or authority
– Submit false, misleading, infringing, or unlawful content
– Transmit malware, spam, malicious code, or harmful content
– Reverse engineer or attempt to bypass technical protections
– Use SoftwareClarity content to build or support a competing directory, database, or commercial product without written permission

11. Vendor Submissions and Feedback

If you submit profile information, corrections, feedback, suggestions, or other content to SoftwareClarity, you represent that you have the right to provide it and that it is accurate to the best of your knowledge.

You grant SoftwareClarity and Boomer Consulting, Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, publish, display, distribute, and incorporate your submission for purposes related to operating, improving, promoting, and maintaining SoftwareClarity.

We may edit, decline, remove, or modify submissions at our discretion.

12. Intellectual Property

SoftwareClarity, including its content, structure, organization, categories, summaries, text, graphics, design, logos, and platform features, is owned by Boomer Consulting, Inc. or its licensors and is protected by intellectual property laws.

You may use SoftwareClarity for internal business research and evaluation. You may not copy, reproduce, distribute, modify, sell, license, or create derivative works from SoftwareClarity or its content without our prior written permission, except as permitted by law.

13. Communications

By contacting SoftwareClarity, submitting a form, or subscribing to communications, you agree that we may contact you regarding your inquiry, SoftwareClarity updates, educational content, or related business communications.

You may unsubscribe from marketing emails using the unsubscribe link included in those emails.

14. Changes to SoftwareClarity

We may modify, update, suspend, or discontinue any part of SoftwareClarity at any time, including vendor profiles, categories, content, features, access rules, or paid visibility offerings.

We are not liable for any modification, suspension, or discontinuation of SoftwareClarity or any portion of it.

15. Disclaimers

SoftwareClarity is provided “as is” and “as available.”

To the fullest extent permitted by law, SoftwareClarity and Boomer Consulting, Inc. disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, availability, security, and reliability.

We do not warrant that SoftwareClarity will be uninterrupted, error-free, secure, current, or free from harmful components.

16. Limitation of Liability

To the fullest extent permitted by law, SoftwareClarity, Boomer Consulting, Inc., and their owners, officers, employees, contractors, partners, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or costs related to vendor selection or implementation.

Our total liability for any claim related to SoftwareClarity will not exceed the greater of $100 or the amount you paid directly to us for the specific SoftwareClarity service giving rise to the claim during the three months before the claim arose.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless SoftwareClarity, Boomer Consulting, Inc., and their owners, officers, employees, contractors, partners, and affiliates from and against claims, damages, liabilities, losses, costs, and expenses arising from your use of SoftwareClarity, your submissions, your violation of these Terms, or your violation of any law or third-party right.

18. Termination

We may suspend or terminate access to SoftwareClarity at any time if we believe you violated these Terms, created risk, misused the site, or acted inconsistently with the purpose of SoftwareClarity.

You may stop using SoftwareClarity at any time.

19. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles.

Any disputes will be resolved in the state or federal courts located in Missouri, unless applicable law requires otherwise.

20. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised “Last Updated” date. Continued use of SoftwareClarity after changes become effective means you accept the updated Terms.
